1. Who can use Shamagri

You must be at least 18 years old and able to enter a binding contract under the Muluki Civil Code, 2074. To keep sales records under a business you must hold a valid Permanent Account Number (PAN) from the Inland Revenue Department (IRD), and if you use the Service for a business, you confirm you are authorized to act for it. Shoppers may browse shamagri.com without an account.

The Service is made for use in Nepal. Because we are a United States company, it is subject to United States export control and sanctions laws. You may not use it if you are located in, or ordinarily resident in, a country or region under a comprehensive United States embargo, or if you are on a United States government restricted-party list, or on behalf of anyone who is.

2. Your account

  • Give accurate information, especially your business name, PAN, address and VAT registration, and keep it up to date.
  • Keep your password, phone and authenticator app secure. You are responsible for everything done through your account until you tell us it has been compromised.
  • One account represents one business. Do not use another person’s PAN or pretend to be someone else.

3. Sales records and your tax obligations

  • Shamagri is a record-keeping tool. It helps you record your sales and returns and adds up their totals, including VAT, for your own records. A Shamagri record is not a tax invoice, and Shamagri is not IRD-registered or IRD-approved billing software. It does not report to the IRD’s Central Billing Monitoring System (CBMS).
  • Where the law requires you to issue a VAT or PAN bill, issue it through a method the IRD allows, such as an IRD-approved billing system or authorized printed bill books. Do not present a Shamagri record as a tax invoice.
  • You remain responsible for the accuracy of your records, for charging and depositing the correct VAT, for keeping the records the law requires and for filing returns with the IRD under the Value Added Tax Act, 2052, the Income Tax Act, 2058 and related rules.
  • Issued bills cannot be edited or deleted. Correct mistakes and record returns with a credit note. Reprints are marked as copies.
  • Tax rates, fiscal-year dates and other rules are built into the Service in good faith, but laws change. Check with the IRD or a tax professional if you are unsure.
  • Neither Shamagri nor CurryRush is affiliated with, endorsed by or acting for the IRD or any government body.

4. IRD lucky-draw helper

The lucky-draw screens show whether a received bill appears eligible, its draw period and the details the IRD portal asks for. This is guidance only. The IRD’s own rules decide eligibility and prizes, and you submit entries yourself on the IRD portal. We do not submit entries, ask for your OTP, or guarantee any result.

5. Public listings on shamagri.com

  • Listing an item is optional. When you list one, you allow us to show it, with your business name, address, phone, district and shop position, on shamagri.com, in search engines and in social-media previews.
  • You are responsible for each listing being accurate and lawful, including prices and units, as the Consumer Protection Act, 2075 requires. Do not list goods or services that are illegal in Nepal, counterfeit, or that need a licence you do not hold.
  • Sales happen directly between shoppers and shops. We are not a party to them and does not handle payment, delivery, returns or warranties. Shoppers should confirm price and availability with the shop before buying.
  • We may remove any listing that breaks these terms or the law, or that we receive a credible complaint about.

6. Customer information

When you record a buyer’s name, PAN, address or phone number, or share a bill with them, you must have a lawful reason to do so and handle that information as the Individual Privacy Act, 2075 requires. Share bills only with the actual buyer.

7. Acceptable use

You must not:

  • issue false, inflated or fictitious bills, or use the Service to evade tax or launder money;
  • use someone else’s PAN, account or identity;
  • break any law of Nepal, or infringe anyone’s rights, including privacy and intellectual property;
  • access other users’ data, probe or bypass our security, or reverse-engineer the Service except where the law permits;
  • scrape shamagri.com in bulk, overload it, or interfere with its operation;
  • upload malware, spam or content that is defamatory, obscene or offensive under the Electronic Transactions Act, 2063.

8. Fees

The Service is currently free. If we introduce paid features, we will show the price and get your agreement before charging you. Free features may change.

9. Your content and our rights

Your business details, catalog and bills remain yours. You give us a non-exclusive licence to store, process, display and transmit them only as needed to run the Service, including publishing items you list. The Shamagri name, app, website and software belong to us and are protected by the Copyright Act, 2059 and other laws; you may not copy or reuse them except as these terms allow.

10. Third-party services

The Service relies on providers such as Google, Apple and Algolia, and links to sites we do not control, such as the IRD prize portal. Their terms apply to your use of them, and we are not responsible for them.

11. Suspension and deletion

  • You can stop using the Service at any time and delete your account in the app under Profile.
  • We may suspend or close an account that breaks these terms or the law, or if required by a lawful order. Where we reasonably can, we will tell you why first.
  • After deletion, issued bills are kept for the period tax law requires and stay visible to customers they were shared with, as the Privacy Policy explains. Sections 3, 10 and 13 to 17 continue to apply.

12. Disclaimers

We work to keep the Service accurate, secure and available, but it is provided “as is” and “as available”. To the extent the law allows, we do not guarantee that it will be uninterrupted or error-free, that calculations meet every situation’s legal requirements, or that listings by shops are accurate. Keep your own copies of important records; you can export bills as PDF.

13. Limitation of liability

To the extent permitted by applicable law, we are not liable for indirect or consequential losses, lost profits, tax penalties or interest arising from incorrect bills or filings, or losses from deals between shops and shoppers. Our total liability for any claim relating to the Service is limited to NPR 10,000 or the amount you paid us in the 12 months before the claim, whichever is greater. Nothing here limits liability that cannot be limited by law, such as for fraud or gross negligence.

14. Indemnity

You agree to compensate us for claims, fines and costs, including reasonable legal fees, that arise from your bills, your listings, your handling of customer information or your breach of these terms or the law.

15. Changes

We may update these terms. For material changes we will notify you in the app or by email at least 15 days before they take effect. Continuing to use the Service after that means you accept the new terms.

16. Governing law and disputes

These terms are governed by the laws of the State of Rhode Island, United States, without regard to its conflict-of-laws rules. If a dispute arises, contact us first and we will try to resolve it in good faith within 30 days. If it is not resolved, either side may bring it before the state or federal courts located in Rhode Island. Nothing here takes away rights that Nepali law gives you and that cannot be waived by contract, including your rights as a consumer under the Consumer Protection Act, 2075, your privacy rights under the Individual Privacy Act, 2075, and your right to bring a claim in Nepal where that law allows it.

If any part of these terms is found unenforceable, the rest remains in effect. These terms and the Privacy Policy are the whole agreement between you and us about the Service.
